Oberoi Realty Consortium Completes Hotel Horizon Acquisition

Oberoi Realty Limited has successfully completed the implementation of the Resolution Plan for Hotel Horizon Private Limited (HHPL) on May 7, 2026, marking a significant corporate development under the Insolvency and Bankruptcy Code, 2016.

Transaction Details and Consortium Structure

The resolution was executed by a consortium that includes Shree Naman Developers Private Limited and JM Financial Properties and Holdings Limited, with total Resolution Money of Rs. 919.25 Crore paid on the Transfer Date. Oberoi Realty Limited completed the acquisition of a 49.999% stake in Hotel Horizon Private Limited on May 7, 2026, investing Rs. 460 Crore comprising equity shares and an unsecured loan.

This investment consists of 49,999 equity shares valued at Rs. 100 each, with the remaining balance provided in the form of an unsecured loan.

Regulatory Milestones and Timeline

The Hon'ble National Company Law Tribunal (NCLT), Mumbai, had approved this Resolution Plan in the Corporate Insolvency Resolution Process (CIRP) of HHPL, as communicated by the company in its earlier letter dated January 29, 2026. Subsequently, through an order dated March 16, 2026, the Hon'ble NCLT, Mumbai granted the Consortium an extension up to May 7, 2026 for payment of the Resolution Money.

Hotel Horizon Private Limited was admitted into the corporate insolvency resolution process (CIRP) on November 19, 2024, following defaults in repayment of its dues.

Governance Transition and Management Control

Following the completion, the Monitoring Committee overseeing HHPL's operations was dissolved, and the Board of Directors was reconstituted with individuals identified by the Consortium members. Consequently, the Board of Directors of Hotel Horizon has been reconstituted to include individuals selected by the consortium members, including representatives from Oberoi Realty. The management and control of Hotel Horizon have now transitioned to the consortium as stipulated in the Resolution Plan.

Strategic Asset: Juhu Sea-Facing Property

HHPL's key asset is a 7,500 sq. m. (1.85-acre) plot on Juhu Tara Road, overlooking the Arabian Sea in Mumbai's luxury micro-market. The site is earmarked for a retail-cum-hotel development. Juhu's average property prices rose to ₹71,597 per sq. ft. in Q1 CY25 from ₹71,106 in Q1 CY24.
